Part of Agency Agreement for Procedures of Overseas Travel
Article 1. Scope of Application
- The Agency Agreement for Procedures of Overseas Travel executed by and between our company (hereinafter called "Company") and a traveler (hereinafter called "Traveler") shall be subject to the provisions stipulated in these Terms and Conditions (hereinafter called the "Terms"). Any matter not stipulated in the Terms shall be subject to the applicable laws and regulations or generally established custom or practice.
- If Company executes any special covenant in writing with Traveler, without breach of the applicable laws and regulations, to the extent that such covenant is not disadvantageous to such Traveler, such covenant shall prevail, notwithstanding the preceding paragraph.
Article 2. Traveler who executes Agency Agreement for Procedures of Overseas Travel
- The Traveler who executes the Agency Agreement for Procedures of Overseas Travel with Company shall be a Traveler who has executed the Ready-made Package Travel Agreement, the Custom-made Travel Agreement or the Agency-Arranged Travel Agreement with Company or a Traveler who has executed with the Company the Ready-made Package Travel Agreement of any other travel agent who entrusts Company to execute such Agreement on behalf of such agent.
Article 3. Definition of Agency Agreement for Procedures of Overseas Travel
- In the Terms, the "Agency Agreement for Procedures of Overseas Travel" (hereinafter called the "Agency Agreement") means an agreement where Company undertakes to perform any of the following services (hereinafter called the "Representative Services") on the basis of the entrustment by Traveler to Company, in consideration of receipt of the handling fee for travel services in relation to the representation of procedures of overseas travel (hereinafter called the "Agency Fee") from such Traveler.
- Procedures for acquisition of a passport, visas, re-entry permits or any other various certificates;
- Preparation of documents for procedures of immigration;
- Any other services related to any of the above items.
Article 4. Establishment of Agency Agreement
- Any Traveler who intends to execute the Agency Agreement with Company shall submit to Company an application form designated by Company where all required items are filled in.
- The Agency Agreement shall become effective at the time when Company has accepted the execution of such Agreement and the application form set forth in the preceding paragraph.
- Notwithstanding the preceding two (2) paragraphs, Company may accept an application for the Agency Agreement by phone, postal mail, facsimile or any other means of communication, without receiving the submission of the application form. In such case, the Agency Agreement shall become effective at the time when Company has accepted the execution of such Agreement.
- If Company has any of its operational or business reasons, Company may not accept the request by such Traveler for the execution of the Agency Agreement, as the case may be.
- Company shall promptly deliver to Traveler after the establishment of the Agency Agreement, a document where the content of the representative services undertaken by Company on the basis of the Agency Agreement (hereinafter called the "Entrusted Services"), the amount of the Agency Fee, the methods of receipt of such amount, the liability of Company and any other required matters are specified.
- If Company provides to Traveler, after obtaining prior consent of such Traveler, the matters to be specified in such document (hereinafter called the "Descriptions" in this article) by any method using information and communication technologies, in place of delivery of the document set forth in the preceding paragraph, Company shall confirm that such Descriptions have been recorded in the files installed in the communication equipment used by such Traveler.
- In the case of the preceding paragraph, if the files for recording the Descriptions are not installed in the communication equipment used by Traveler, Company shall record such Descriptions in the files installed in the communication equipment used by Company (only limited to the files exclusively used for such Traveler) and confirm that such Traveler has viewed such Descriptions.
Article 5. Confidentiality
- Company shall not disclose, provide or leak to any third party, any and all information which Company may know in performing the Entrusted Services.
Article 6. Obligations of Traveler
- Traveler shall pay to Company the Agency Fee by the due date designated by Company.
- Traveler shall submit to Company any and all documents, materials or any other things (hereinafter collectively called the "Documents for Travel Procedures") necessary for the Entrusted Services by the due date designated by Company.
- If Company is required to pay to any public agency in Japan, diplomatic establishment located in Japan or any other person or entity, any charge, fee, visa fee, commission or any other amount (hereinafter collectively called the "Visa Fee, etc."), in performing the Entrusted Services, Traveler shall pay to Company such Visa Fee, etc. by the due date designated by Company.
- If any postal charge, transportation expense or any other expense arises in the performance of the Entrusted Services, Traveler shall pay to Company such charge or expense by the due date designated by Company.
Article 7. Termination of Agency Agreement
- Traveler may, at any time, terminate all or any part of the Agency Agreement.
- In any of the following cases, Company may terminate the Agency Agreement.
- If Traveler does not submit to Company the Documents for Travel Procedures by the due date;
- If Company considers that the Documents for Travel Procedures submitted by Traveler are insufficient;
- If Traveler does not pay to Company the Agency Fee, Visa Fee, etc. or any expense set forth in the paragraph 4 of the preceding article;
- In the case of undertaking by Company of the Representative Services set forth in the paragraph 1 of the Article 3, if Company considers that Traveler is unlikely to be able to obtain a passport, any visa or re-entry permit (hereinafter collectively called the "Passport, etc.") for any reason not attributable to Company.
- If the Agency Agreement is terminated on the basis of the preceding two (2) paragraphs, Traveler shall bear any and all Visa Fee, etc. already paid and any and all expenses set forth in the paragraph 4 of the preceding paragraph and shall also pay to Company the Agency Fee in relation to the Entrusted Services already performed by Company.
Article 8. Liability of Company
- If Company gives any damage to Traveler by intent or negligence in performing the Agency Agreement, Company shall compensate such Traveler for such damage, provided, however, that such Traveler notifies Company of such damage within six (6) months from the day immediately following the date of the occurrence of such damage.
- Company does not warrant that Traveler may actually obtain any visa, etc. or be permitted to enter any related country on the basis of the Agency Agreement. Therefore, even if Traveler may not obtain any visa, etc. or be not permitted to enter any related country, Company shall not be liable for such case.
