Article 1. Scope of Application

1. The Travel Consultation Agreement executed by and between our company (hereinafter called "Company") and a traveler (hereinafter called "Traveler") shall be subject to the provisions stipulated in these Terms and Conditions (hereinafter called the "Terms"). Any matter not stipulated in the Terms shall be subject to the applicable laws and regulations or generally established custom or practice.
2. If Company executes any special covenant in writing with Traveler, without breach of the applicable laws and regulations, to the extent that such covenant is not disadvantageous to such Traveler, such covenant shall prevail, notwithstanding the preceding paragraph.

Article 2. Definition of Travel Consultation Agreement

1. In the Terms, the "Travel Consultation Agreement" (hereinafter called the "Consultation Agreement") means an agreement where Company undertakes to perform any of the following services on the basis of the entrustment by Traveler to Company, in consideration of receipt of the handling fee for travel services in relation to consultations (hereinafter called the "Consultation Fee") from such Traveler.
   1. Advice necessary for Traveler to prepare a travel plan;
   2. Preparation of a travel plan;
   3. Preparation of an estimate or a quotation in relation to expenses necessary for a travel;
   4. Provision of information in relation to travel destinations, transportation and/or accommodation facilities, etc.;
   5. Provision of any other advice or information necessary for a travel.

Article 3. Establishment of Consultation Agreement

1. Any Traveler who intends to execute the Consultation Agreement with Company shall submit to Company an application form designated by Company where all required items are filled in.
2. The Consultation Agreement shall become effective at the time when Company has accepted the execution of such Agreement and the application form set forth in the preceding paragraph.
3. Notwithstanding the preceding two (2) paragraphs, Company may accept an application for the Consultation Agreement by phone, postal mail, facsimile or any other means of communication, without receiving the submission of the application form. In such case, the Consultation Agreement shall become effective at the time when Company has accepted the execution of such Agreement.
4. If Company has any of its operational or business reasons, or if the content of the consultation by Traveler may offend public order and morals or breach any applicable laws or regulations enforced at the travel destinations, Company may not accept the request by such Traveler for the execution of the Consultation Agreement, as the case may be.

Article 4. Consultation Fee

1. If Company performs any of the services set forth in the Article 2, Traveler shall pay to Company the prescribed Consultation Fee by the due date designated by Company.

Article 5. Liability of Company

1. If Company gives any damage to Traveler by intent or negligence in performing the Consultation Agreement, Company shall compensate such Traveler for such damage. However, Company shall be liable for such compensation only if such Traveler notifies Company of such damage within six (6) months from the day immediately following the date of the occurrence of such damage.
2. Company does not warrant that Company may actually arrange any transportation and/or accommodation facilities, etc. specified in the travel plan prepared by Company. Therefore, even if Company may not conclude an agreement with any transportation and/or accommodation facilities, etc. in relation to any transportation, accommodation and/or any other services provided by such agency, etc. for the reason that such transportation and/or accommodation facilities, etc. are filled to their capacity or for any other reason, Company shall not be liable for any failure of such arrangement.
